These Terms of Use ("Terms") govern your access to and use of the Identifai application, websites, and related services (together, the "Service") provided by Identifai Ltd ("Identifai", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
You must be at least 18 years old and able to form a legally binding contract to use the Service. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorised use. We may suspend or terminate accounts that violate these Terms.
Subject to your compliance with these Terms, Identifai grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal productivity purposes. Use of the downloadable software components is additionally governed by our End User License Agreement.
You agree not to: (a) use the Service in violation of any applicable law or regulation; (b) reverse engineer, decompile, or attempt to extract the source code of the Service except as permitted by law; (c) interfere with or disrupt the integrity or performance of the Service; (d) attempt to gain unauthorised access to the Service or related systems; or (e) use the Service to build a competing product.
Certain features of the Service are offered on a paid subscription basis. Fees, billing cycles, and applicable taxes will be described at the point of purchase. Unless otherwise stated, fees are non-refundable. We may change our fees on prospective notice.
You retain all rights in the data, documents, and content you upload to or process through the Service ("Your Content"). You grant us a limited licence to host, process, and transmit Your Content solely to provide and improve the Service. Identifai does not train its models on your data. Our handling of personal data is described in our Privacy Policy.
The Service, including all software, design, text, and trademarks, is owned by Identifai or its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, no rights are transferred under these Terms.
The Service may integrate with or link to third-party products and services. We are not responsible for the availability, accuracy, or content of those third-party services, and your use of them is governed by their own terms.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Identifai does not warrant that the Service will be uninterrupted, error-free, or that outputs will be accurate or complete. You are responsible for reviewing and verifying any outputs before relying on them.
To the fullest extent permitted by law, Identifai and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of these Terms will not exceed the amounts you paid to us for the Service in the twelve months preceding the claim.
You agree to indemnify and hold harmless Identifai from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service or your breach of these Terms.
These Terms remain in effect while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will survive.
We may modify the Service or these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
