This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Identifai Ltd ("Identifai", "we", "us", or "our") for the Identifai software application, including the Excel add-in and any associated media, printed materials, and online or electronic documentation (the "Software"). By installing, copying, or otherwise using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
Subject to your compliance with this Agreement, Identifai grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the Software for your internal business or personal productivity purposes, on devices that you own or control.
You may not: (a) copy, modify, or create derivative works of the Software except as expressly permitted; (b) rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software to any third party; (c) reverse engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by applicable law; (d) remove or alter any proprietary notices on the Software; or (e) use the Software to develop a competing product.
The Software is licensed, not sold. Identifai and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than those expressly set out in this Agreement.
Identifai may, at its discretion, provide updates, upgrades, or patches to the Software. Such updates are subject to this Agreement unless accompanied by a separate licence. The Software may automatically download and install updates to maintain security and functionality.
The Software may include third-party components or rely on third-party model providers, each of which may be subject to separate terms. You agree to comply with any applicable third-party terms when using the Software.
Your use of the Software is subject to our Privacy Policy. The Software processes the documents and data you choose to provide solely to deliver its functionality. Identifai does not use your content to train its models.
This Agreement is effective until terminated. It will terminate automatically if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control. Sections that by their nature should survive termination will survive.
The Software is provided "as is" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. You assume all responsibility for verifying the accuracy and suitability of any outputs generated by the Software.
To the fullest extent permitted by law, in no event will Identifai be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising out of your use of or inability to use the Software. Identifai's total liability under this Agreement will not exceed the amount you paid, if any, for the Software.
You agree to comply with all applicable export and re-export control laws and regulations in your use of the Software.
This Agreement is governed by the laws of England and Wales, without regard to its conflict of laws principles, and the courts of England and Wales will have exclusive jurisdiction over any dispute arising under it.
